Born and developed under the basis of English-American legal system, the independent Directors System is an effective remedy for the corporate government in our country. Highly praised as a perfect type, is it still the model we are seeking after Enron and Worldcom Scandals? This paper points out the other side of the Independent Directors System, criticizing the independent directors are not the congenial representatives of shareholders.
