从保全到流通:民法典编纂中不动产抵押权现代化之构想

摘要:

现代不动产抵押权已经从单纯的保全手段转变为兼具保全、流通和投资功能的法律构造。我国理论界和实务界对此一发展存在认知视域上的缺失,导致理论与法律建构过于强调不动产抵押权的保全功能,僵化地理解和构造从属性原则,几乎完全窒息了不动产抵押权的流通功能和投资属性。我国民法典编纂应该顺应不动产抵押权的现代发展,对现行法上的不动产抵押权进行改进,从结构上缓和从属性原则的效力,并借助不动产登记簿最大限度降低主债权债务对不动产抵押权流通的威胁,增强不动产抵押权的流通能力;同时还应考虑规定不动产抵押权证券,降低不动产抵押权的流通成本,更好地服务于经济与金融领域的交易活动。

  • Modern hypothec has transformed from simplex security to a legal structure with functions of security,circulation and investment. There is a lack of cognitive vision in both theoretical and practical cycles of China,generating the overemphasis on the warrant function of hypothec in theory and law construction,as well as the rigid cognition and construction about principle of subordination. It affiliates hypothec to the existence of principal obligation,and almost utterly suffocates circulation function and investment attribute of the former.The Codification of Civil Code is expected to comply with the modern development of hypothec,ameliorate hypothec of current law,and alleviate the effect of principle of subordination from a structural perspective. In addition,it's supposed to minimize threats to the circulation of hypothec by means of real estate register,and enhance the circulation of hypothec. Meanwhile,we should take the securitization of hypothec into consideration,reducing circulation cost of hypothec,and better serving trading activities in the economic and financial fields.
