为改善我国创业投资发展的法律环境,在立法上似可借鉴国外法律,承认有限合伙。然适用于创业投资企业的有限合伙,与普通民商事主体的有限合伙在制度、规范、要求上差异很大,其本位取向不尽相同。我国现在制定一部有限合伙的市场主体法是否必要值得探究。建议起草一部专门的《创业投资法》。

In order to improve the legal environment for developing start-up investment in China, we can adopt the limited partnership, using the foreign law for reference, but the limited partnership applicable to start-up investment enterprise differs greatly with that in civil and commercial subject in system, norm, request and standard-orientation, so we need to discuss whether it is necessary to draft a main body law of the market about limited partnership. The author suggests drawing up a special law-law on start-up investment.
