摘要:

随着中国正式申请加入《全面与进步跨太平洋伙伴关系协定》(CPTPP),如何实现国内制度与CPTPP规则的有效对接成为高度关注的议题。CPTPP首次在第17章“国有企业与指定垄断企业”对国有企业进行了专章规制,并且其对国有企业的规制是目前多边协定最为详尽的。CPTPP在非歧视待遇和商业考虑、非商业援助以及透明度等方面对国有企业提出了较高的义务要求,被视为中国加入CPTPP的核心难点之一。CPTPP通过“一般例外”与“安全例外”条款设置总则性条例外安排,并在国有企业章节进一步设置具有针对性的例外条款。国有企业章节例外规则形成了“一般例外+国别例外”的包容性结构,兼顾协定整体纪律与成员方差异化诉求。面对国有企业章节较高的竞争中立标准,例外条款的合理适用与策略利用成为缓解制度冲突、保障国家经济安全、维护制度自主性的潜在途径。本文聚焦CPTPP国有企业章节例外条款,由五个部分组成。第一部分厘清CPTPP国有企业章节例外条款的界定,通过系统梳理CPTPP国有企业章节例外条款的基本体例及其与CPTPP第29章的关系确定其内涵,分析规则的理论背景,并抽取出特定主体例外、国家经济安全例外以及国别例外三个核心问题进行讨论。第二部分重点围绕特定主体例外条款,解读CPTPP特定主体例外的内容,比较分析CAI中有关特定主体例外的规定,介绍主权财富基金例外的典型案例,即新加坡“淡马锡”模式,并讨论中国目前主权财富基金的现状以及未来面临的挑战。第三部分聚焦于国家经济安全例外条款的分析,研究CPTPP文本的内容,对比分析IMF协定、GATT、RECP中安全例外的相关规定,讨论中国目前所处的泛国家安全例外背景,以及中国在实践中对待安全例外的态度。第四部分针对国别例外展开分析,在解读第17章附件和CPTPP附件四内容的基础上,与GATS、CAI以及OECD中关于国别例外包括特定政策或行业例外的规定对比分析,考察国别例外的典型案例越南的实践经验,最后分析中国目前的实践。在此基础上,在第五部分为中国对接CPTPP国有企业章节提出以下路径:在特定主体例外方面,可探索符合CPTPP定义的主权财富基金治理模式,并通过公布清单、推进混合所有制改革等方式,适配中小型及次中央级国有企业例外规则;在国家经济安全例外方面,可基于金融安全、经济紧急状况等情形,合理援引例外条款并完善国内相关机制;在国别例外方面,应积极设计符合我国发展阶段与国企改革需求的行业例外与政策例外安排,善于利用不符措施保留必要政策空间。总体而言,中国应在谈判中平衡CPTPP竞争中立原则与国有企业章节例外条款的灵活运用,以期为国有企业深化改革争取制度适应期与发展主动权,实现国内改革与国际规则的有效衔接。

  • Following China’s formal application to accede to the Comprehensive and Progressive Agreement for Trans-Pacific Partnership (CPTPP), the question of how to effectively align China’s domestic legal and institutional framework with CPTPP disciplines has attracted significant attention. As the first international trade agreement to establish a dedicated chapter governing state-owned enterprises (SOEs) and designated monopolies, Chapter 17 of the CPTPP contains one of the most comprehensive sets of disciplines on SOEs currently found in international economic agreements. By imposing extensive obligations concerning non-discriminatory treatment, commercial considerations, non-commercial assistance, and transparency, the CPTPP establishes a high-standard competitive neutrality framework that is widely regarded as one of the most challenging areas for China’s accession negotiations. While the CPTPP provides overarching safeguards through its general exceptions and security exceptions provisions, it further incorporates tailored exceptions within the SOE chapter itself. Together, these provisions constitute an inclusive framework combining general exceptions and country-specific exceptions, balancing the agreement’s regulatory objectives with the policy concerns of individual members. In light of the stringent competitive neutrality obligations imposed upon SOEs, the proper interpretation and strategic utilization of these exception provisions may serve as an important mechanism for alleviating regulatory tensions, safeguarding national economic security, and preserving domestic policy autonomy.This article focuses on the exception provisions contained in the CPTPP SOE chapter and is divided into five parts. The first part clarifies the concept and scope of the exceptions applicable to Chapter 17 by examining their institutional structure, their relationship with Chapter 29 of the CPTPP, and their theoretical foundations. On this basis, it identifies three key issues for further analysis: exceptions for specific entities, national economic security exceptions, and country-specific exceptions. The second part examines the provisions relating to exceptions for specific entities, compares them with the corresponding provisions under the Comprehensive Agreement on Investment (CAI), introduces the sovereign wealth fund exception through the representative case of Singapore’s Temasek model, and evaluates the current status and future challenges of China’s sovereign wealth funds. The third part focuses on the national economic security exception by analyzing the relevant CPTPP provisions, comparing them with the security-related provisions contained in the Articles of Agreement of the International Monetary Fund (IMF), the General Agreement on Tariffs and Trade (GATT), and the Regional Comprehensive Economic Partnership (RCEP), and examining China’s evolving approach to security exceptions in practice. The fourth part addresses country-specific exceptions through an interpretation of the annexes to Chapter 17 and Annex IV of the CPTPP, a comparative analysis with the exception regimes found in the General Agreement on Trade in Services (GATS), the CAI, and relevant OECD instruments, and an examination of Vietnam’s experience together with China’s existing practice.Building upon the foregoing analysis, the fifth part proposes pathways for China’s alignment with the CPTPP SOE chapter. Regarding exceptions for specific entities, China may explore sovereign wealth fund governance models that satisfy CPTPP requirements while adapting to the exception regimes applicable to small and medium-sized SOEs and sub-central SOEs through measures such as the publication of relevant enterprise lists and the advancement of mixed-ownership reform. With respect to national economic security exceptions, China may develop a more coherent framework for invoking such exceptions in circumstances involving financial security and economic emergencies while improving the relevant domestic mechanisms. Concerning country-specific exceptions, China should proactively design sectoral and policy-based exceptions that accommodate its stage of development and the ongoing reform of its SOE sector, while making effective use of non-conforming measures to preserve necessary policy space. Ultimately, China should seek to strike an appropriate balance between the CPTPP’s competitive neutrality disciplines and the flexible application of the SOE chapter’s exception provisions, thereby facilitating the effective integration of domestic reform objectives with high-standard international economic rules.
