“去家族化”背景下家族企业审计风险识别与应对研究——基于双案例的分析

摘要:

家族企业是我国国民经济的微观基础,中国民营经济研究会的研究报告显示,我国85%以上的民营企业为家族企业。家族企业作为我国民营经济的重要组成部分,在驱动经济增长与维持就业稳定方面发挥着关键作用。我国大量家族企业诞生于改革开放初期的创业浪潮,随着当前家族企业代际传承高峰期的到来,叠加企业规模扩张与产业升级的高质量发展需求,以家族高度集权、内源融资为主的传统治理模式已成为制约家族企业发展的瓶颈。而引入外部资本或职业经理人的“去家族化”转型成为家族企业打破融资约束并迈向治理现代化的重要路径。然而,“去家族化”转型未必能改善公司治理;在所有权与经营权逐渐分离的过渡期,所有权的稀释损害了家族的社会情感财富,同时新旧治理模式的交替常常打破传统家族企业中原有的信任机制,加剧了第一类与第二类代理冲突。家族长期积累形成的权威叠加治理转型期企业内部监督的薄弱,使得家族与职业经理人均具备实施舞弊行为的机会,从而引发复杂且隐蔽的重大错报风险,给注册会计师审计执业带来了挑战。识别“去家族化”背景下的审计风险,并探讨其应对策略,具有重要的理论价值与现实意义。本文基于委托代理理论、社会情感财富理论与舞弊三角理论,针对股权多元化与管理权职业化两大“去家族化”形式,构建了“转型路径-代理冲突-风险传导-审计应对”的分析框架。本文通过对A股上市家族企业数据的统计分析,验证了“去家族化”程度与企业审计风险的正相关关系,并从理论层面剖析了两种转型形式下审计风险的生成机理与差异化特征。在此基础上,本文选取股权多元化“去家族化”形式的雷士照明与“管理权职业化”去家族化形式的宁波东力作为案例研究对象,分别剖析了两家企业在转型过程中审计风险的具体表现形式与传导路径:(1)股权多元化下的审计风险源于家族股权稀释引发的第二类代理冲突,集中体现为违规担保、资金占用等家族“掏空”行为;(2)管理权职业化下的审计风险源于职业经理人“内部人控制”引发的第一类代理冲突,集中体现为业绩对赌压力下的系统性财务造假。最后,本文针对“去家族化”两大转型形式下的审计风险,提出了分层级、差异化的审计应对策略。(1)在总体应对层面,注册会计师要充分评估“去家族化”对企业内部控制的系统性影响,强化职业怀疑以精准识别不同转型主体的舞弊动机。(2)在具体应对层面,注册会计师应当设计和被审计单位“去家族化”形式相适配的审计程序:针对股权多元化转型下的家族“掏空”风险,注册会计师应当设计并实施如货币资金穿透核查、资产交易公允性验证、家族隐性关联方网络穿透识别等针对性审计程序;针对管理权职业化转型下的职业经理人造假风险,本文提出了收入全链条核查、会计估计独立复核、跨境业务商业实质穿透验证等针对性审计应对措施。本文的研究不仅可为注册会计师识别与应对“去家族化”背景下家族企业的审计风险提供实践指引,也可为“去家族化”转型中的家族企业防范合规危机、实现稳健转型提供有益借鉴。

  • Family businesses constitute the micro-foundation of China's national economy. According to a research report by the China Private Economy Association, over 85% of private enterprises in China are family businesses. As a vital component of the private economy, they play a crucial role in driving economic growth and maintaining employment stability. A large number of family businesses in China emerged during the entrepreneurial wave in the early stages of reform and opening up. With the imminent peak of intergenerational succession, coupled with the high-quality development demands for scale expansion and industrial upgrading, the traditional governance model—characterized by highly centralized family control and internal financing—has become a bottleneck restricting their development. Consequently, the "de-familization" transition, facilitated by the introduction of external capital or professional managers, has emerged as an essential path for family businesses to break financing constraints and advance toward governance modernization.However, the "de-familization" transition does not necessarily improve corporate governance. During the transitional period of gradual separation between ownership and management rights, the dilution of ownership impairs the family's socioemotional wealth (SEW). Simultaneously, the alternation between the old and new governance models frequently disrupts the traditional trust mechanisms inherent in family businesses, thereby exacerbating Type I and Type II agency conflicts. The long-accumulated authority of the family, combined with the weakened internal supervision during the governance transition, provides both family members and professional managers with opportunities to perpetrate fraud. This triggers complex and concealed risks of material misstatement, posing significant challenges to the auditing practice of Certified Public Accountants (CPAs). Therefore, identifying audit risks in the context of "de-familization" and exploring corresponding audit responses hold significant theoretical value and practical implications.Based on the principal-agent theory, socioemotional wealth theory, and fraud triangle theory, this paper constructs an analytical framework of "Transition Path—Agency Conflict—Risk Transmission—Audit Response" targeting the two primary forms of "de-familization": equity diversification and management professionalization. Through a statistical analysis of data from A-share listed family businesses, this study verifies the positive correlation between the degree of "de-familization" and corporate audit risk, and theoretically dissects the generating mechanisms and differentiated characteristics of audit risks under the two transition forms. On this basis, this paper selects NVC Lighting (representing the equity diversification model) and Ningbo Dongli (representing the management professionalization model) as case studies to analyze the specific manifestations and transmission paths of audit risks during their respective transitions: (1) Under equity diversification, audit risks originate from Type II agency conflicts triggered by the dilution of family equity, primarily manifested as family "tunneling" behaviors such as unauthorized guarantees and fund misappropriation; (2) Under management professionalization, audit risks stem from Type I agency conflicts caused by the "insider control" of professional managers, centrally reflected in systematic financial fraud under the pressure of performance commitments.Finally, targeting the audit risks under the two main forms of "de-familization," this paper proposes hierarchical and differentiated audit response strategies. (1) At the overall response level, CPAs should comprehensively evaluate the systematic impact of "de-familization" on corporate internal controls and strengthen professional skepticism to accurately identify the heterogeneous fraud motives of different transitional subjects. (2) At the specific response level, CPAs should design audit procedures tailored to the specific "de-familization" model of the audited entity. To address the family "tunneling" risk under equity diversification, CPAs should design and implement targeted audit procedures such as the penetrating verification of monetary funds, the fairness validation of asset transactions, and the penetrating identification of hidden family-related party networks. To counter the risk of fraud by professional managers under management professionalization, this paper proposes targeted audit countermeasures including full-chain revenue verification, independent review of accounting estimates, and penetrating validation of commercial substance in cross-border transactions. The findings of this paper not only provide practical guidance for CPAs to identify and respond to the audit risks of family businesses under the "de-familization" context but also offer useful references for transitioning family businesses to prevent compliance crises and achieve a steady transformation.
